By accessing or using Brightdesk ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Brightdesk is a business management platform designed for event professionals. Our Service allows you to manage bookings, create invoices, track payments, generate contracts, and organize your business operations.

3. Account Registration

To use certain features of the Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

4. Subscription Plans

Free Plan: Limited access to features with restrictions on the number of bookings, invoices, and other resources per month.

Pro Plan: Full access to all features with unlimited usage. Subscription fees are billed in advance on a monthly or annual basis.

Trial Period: New users receive a 28-day free trial of Pro features. No credit card is required to start the trial.

5. Payment Terms

  • All fees are non-refundable except as required by law or as explicitly stated
  • Prices are subject to change with 30 days' notice
  • You are responsible for all applicable taxes
  • Failed payments may result in service suspension

6. Acceptable Use

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws in your jurisdiction
  • Transmit any malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use automated means to access the Service without permission
  • Impersonate any person or entity
  • Upload content that infringes on intellectual property rights

7. Your Data

You retain ownership of all data you upload to Brightdesk. By using our Service, you grant us a limited license to store, process, and display your data as necessary to provide the Service.

You are responsible for maintaining backups of your data. While we implement security measures, we are not liable for data loss.

8. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Brightdesk and is protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without explicit permission.

9. Third-Party Services

Our Service may contain links to or integrate with third-party services. We are not responsible for the content, privacy policies, or practices of third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHTDESK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Brightdesk, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account at any time for violations of these Terms. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Service will cease immediately. Provisions that should survive termination will remain in effect.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes through the Service or via email. Continued use after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
